The general Terms and Conditions of Sale detailed below govern the contractual relationship between the ‘User’ (hereafter also referred to as ‘You’ or the ‘Customer’) and Hemming Aviation LLC (hereafter also referred to as ‘We’ or the ‘Website’), belonging to the company Hemming Aviation LLC. Both parties accept these Conditions unreservedly. These general Conditions of Sale are the only conditions that are applicable and replace all other conditions, except in the case of express, written, prior dispensation. We maintain that, by confirming your order, you have read and do unreservedly accept our general Conditions of Sale. These Terms and Conditions of Sale are important to you and Hemming Aviation LLC as they are used to protect your rights as a valued customer and our rights as a business.

Product Information

Hemming Aviation LLC takes great care when putting product information, descriptions and images on-line but will not be held responsible for any mistakes or omissions to any information given.

Prices

The prices indicated on Hemming-Aviation.com are shown in US Dollars and do not include delivery. The delivery costs are clearly shown and invoiced at the end of the order in addition to the price of the products. We reserve the right to modify our prices at any moment but this will be indicated to you on the order at the time the order is placed. If an obviously incorrect price appears on our website and is not corrected on your total at the time of order completion, for whatever reason (human error, technical error etc.), your order will be cancelled and the payment refunded to you, even if it has been initially validated.

Custom-built Wiring Harnesses

Our custom-built wiring harnesses are priced based on the measurements and other requirements you submit in our custom harness request form on Hemming-Aviation.com. You will receive a quote confirming the price of your requested custom-built wiring harness. Once you formally accept the quote, an invoice will be issued, and the building of your custom wiring harness will begin after payment is received. Most domestic orders for custom wiring harnesses fulfill the requirements of our free standard shipping offer.

If you choose not to provide measurements and instead wish us to use the standard measurements we have on record from the manufacturer or distributor of your RC Aircraft. In that case, Hemming Aviation LLC is not responsible for the wiring harness not fitting into your RC aircraft.  In such a case, you may return your custom-built wiring harness at your own expense. A refund will be given minus a 20% restocking fee, shipping fees, and any payment processing fees Hemming Aviation LLC incurred when you paid for your order, but only when the custom-built wiring harness is back in our possession.

Availability

We will always endeavor to fulfil your order once completed and paid for, most orders will ship in 3 business days or less. All items on our site available for purchase are in stock and ready to ship. We do have some special order items on our website that are not in stock, these items are clearly marked. In the event of an inventory error, we will contact you to see how you would like to proceed.

On rare occasions we may elect to delay your order. Typically this is for suspected fraud, payment clearance or to allow our team more time to fully package and protect your order. Following holidays or big sales we may be overloaded with orders and a slight delay in getting your order out may be experienced.

Payment

Hemming Aviation LLC currently offers multiple ways to pay for your order online, Paypal, credit card, debit card, or ACH. These payment options use advanced SSL encryption to keep your transaction secure. Please refer to Paypal for their full terms and conditions of use. We do not accept checks and money orders.

Changes to the Terms of Service and the Website

Hemming Aviation LLC is a work in progress, and as such things may change, be added or be taken away. We reserve the right to update the Website and these Terms of Service from time to time, at our discretion and without any notice. It is solely your responsibility to keep up-to-date with the latest Terms and Conditions by checking back regularly. Your continued use of the Website following the publishing of updated Terms of Service will be taken to mean that you have read and agree to the changes.

Access to the Website

We work hard to ensure the Website is always up and available, but we can't guarantee that the Website will not have downtime for any reason. We reserve the right to close the Website for short periods of time for general maintenance, but will attempt to keep this to a minimum. We will not be liable if for any reason all or any part of the Website is unavailable at any time, for any length of time.

We do not guarantee that the Website or any content provided on the Website is error free. We manage your personal data according to our Privacy Policy.

Intellectual ownership

All the content on Hemming Aviation LLC website (illustrations, texts, names, brand names, images and videos) is the property of Hemming Aviation LLC. Any partial or total reproduction of this content, by any means and on any support, is subject to prior and express authorization by Hemming Aviation LLC. All information, content and files are protected by International law concerning intellectual ownership and copyright. Hemming Aviation LLC cannot give you the right to copy, display or distribute content that you do not have the intellectual rights to. All fraudulent use of this content that violates the rights held by a third party constitutes an offence of forgery, which is severely punished under the Intellectual Property Code.

Hemming Aviation LLC will not, under any circumstances, be held responsible if a user violates rights held by a third party through their activities on the site.

Waiver and Severability

Any failure of Hemming Aviation LLC to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Hemming Aviation LLC, and governs your use of the service, superseding any prior agreements (including, but not limited to, any prior versions of the Terms of Service). If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

Feedback & Comments

Any opinions left on the website by Hemming Aviation LLC customers are screened and moderated by Hemming Aviation LLC . If the comments infringe on the law or are inappropriate (abusive publicity, defamation, insults, out of context commentary) or inaccurate, Hemming Aviation LLC reserves the right to refuse or modify it.

Jurisdiction/ Venue
These terms will be governed by and interpreted in accordance with the laws of the State of Georgia, without giving effect to the principles of conflicts of law of such state. The parties hereby agree that any action arising out of this Agreement will be brought solely in Hall County, Georgia or in a federal court in the North District of Georgia. Both Parties hereby submit to the exclusive jurisdiction and venue of any such court.

Legal Fees
If Hemming Aviation LLC incurs any legal fees associated with the enforcement of this Agreement or any of its rights under this Agreement, Hemming Aviation LLC shall be entitled to recover its reasonable attorney's fees and any court, arbitration, mediation, or other litigation expenses.

Miscellaneous 

If any provision or portion of these terms is determined to be illegal, invalid, or unenforceable, the remaining provisions or portions shall remain in full force and effect. Each term and provision of this Agreement that should by its sense and context survive any termination or expiration of this Agreement, shall so survive. The rights and remedies of Enhance as herein provided shall be cumulative and not exclusive of any rights or remedies provided by law or equity. A signed contract delivered via electronic signature shall be deemed as effective as an original executed signature. No waiver of any term or right in this Agreement shall be effective unless in writing, signed by an authorized representative of the waiving party. This Agreement, and any exhibits attached hereto, is the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior agreement or communications between the parties, whether written, oral, electronic or otherwise. Each party acknowledges that no representations, inducements, promises, or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not contained in this Agreement, and that no other agreement, statement, or promise not contained in this Agreement will be valid or binding. No change, modification, amendment, or addition of or to this Agreement or any part thereof shall be valid unless in writing and signed by authorized representatives of the parties.
